The expensive retail version is licence unlimited, so that you can move it from one pc to another (like when upgrading your hw and stuff). You can also do that with OEM, but with a limitation. There's a point system, with the different hw takes different amount of points when you replace it. When you filled up on points, you'll have to buy Vista again. You can find more detailed info on it on Microsoft's websites.
But why do you want to buy the Ultimate version? The Home Premium is the same, but without 4 options you'll probably never need anyway. It's cheaper as awell.
The things Ultimate has, that Home P doesn't:
Backup & Restore
Windows Fax & Scan
Remote Desktop
Bitlocker
...other than that, it's the exact same version.
